5. Buyers, Sellers, and Manufacturers

5.1 General Structure and Roles

The Services include access to Spokbee's multiparty marketplace platform. A “Buyer” is any User that purchases a product through the Services. A “Seller” is any User that lists products for sale or sells products through the Services. A “Manufacturer” is any User that manufactures (or takes responsibility to manufacture – e.g. using one or more subcontractors that are not Users) a product on the platform. In certain instances, a Seller of a product may also be the Manufacturer of that product; in other instances, a Seller may be selling a product that is manufactured by a Manufacturer. For any sale of a product (a “Project”) the Services will indicate, or will permit the involved Users to indicate, who is the Buyer, who is the Seller, and who is the Manufacturer. Projects may involve the production of goods based on design files, documentation, specifications, images, and other content (collectively, “Designs”) provided by one or more Users.

5.2 Responsibility; Limitations

5.4 Price Estimation

The Services may permit Users to estimate the “as produced” price for a given Project, using information supplied by the relevant Seller and/or Manufacturer. The Spokbee price estimation function, like all other aspects of the Services, is provided “as is” and with all faults. The Seller and/or Manufacturer for any Project are responsible (and Spokbee is not responsible) for confirming the final price the completion of any Project. Each User hereby acknowledges and agrees that Spokbee has no responsibility arising from any pricing information presented through the Services, and hereby irrevocably and forever releases Spokbee and its affiliates from any and all claims or damages of any kind arising from the same, howsoever arising.

5.5 Terms of Sale and Warranty

The fulfillment of any Project may be subject to separate “terms of sale”, “terms of purchase”, or similar terms and conditions between and among the Buyer and the Seller and/or Manufacturer, which terms may be presented through the Services or may be provided outside of the Services. Similarly, any warranty that may be provided by a Manufacturer and/or Seller in connection with any Project may be presented through the Services or may be provided outside of the Services. Any and all such terms or agreements relating to any Project (the “Project Related Terms”) are between or among one or more of the Seller, Buyer, and Manufacturer, and each User hereby acknowledges and agrees that Spokbee is not a party (and cannot be named as a party) to any Project Related Terms and has no responsibility in connection with Project Related Terms whatsoever.

Spokbee does not claim any ownership rights in the Content submitted to our Services by Users, including Designs (collectively, “User Content”). 17. Disclaimer

OUR SERVICES AND ALL CONTENT ON OR ACCESSIBLE FROM OUR SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. Specifically, but without limitation, we do not warrant that: (i) the information available through our Services is free of errors; (ii) the functions or services provided by our Services will be uninterrupted, secure or free of errors; (iii) defects will be corrected or (iv) that our servers or the server(s) that make our Services available are free of viruses or other harmful components.

We and our affiliates and licensors cannot and do not guarantee that any personal information supplied by you will not be misappropriated, intercepted, deleted, destroyed or used by others.

18. Limitation of Liability

18.1 Disclaimer

IN NO EVENT SHALL WE BE LIABLE TO YOU, ANY OTHER USER OF OUR SERVICES, THIRD PARTY PROVIDERS OR ANY OTHER PERSON OR ENTITY FOR ANY SPECIAL, INCIDENTAL, PUNITIVE, CONSEQUENTIAL, EXEMPLARY OR OTHER INDIRECT DAMAGES ARISING OUT OF THE USE, INABILITY TO USE, UNAUTHORIZED ACCESS TO OR USE OR MISUSE OF OUR SERVICES, WHETHER BASED UPON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR OTHERWISE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES OR LOSSES.

18.2 Limitation

Our aggregate liability for all claims arising from these Terms shall not exceed the greater of (i) $100.00 or (ii) the aggregate amount you have paid to us in fees, if any, with respect to the then-prior six (6) month period with respect to the specific Project giving rise to the liability.

18.4 Basis of Bargain

You acknowledge and agree that Spokbee has offered the Services entered into these Terms in reliance upon the disclaimers, limitations of liability, release, indemnity, and other terms limiting or eliminating Spokbee's exposure to risk. You further acknowledge and agree that all such terms set forth in this agreement reflect a reasonable and fair allocation of risk between you and Spokbee, and that the foregoing form an essential basis of the bargain between you and Spokbee.

19. Release from Liability

You release, to the fullest extent permitted by law, Spokbee, its directors, officers, members, employees, representatives, consultants, agents, suppliers and/or distributors from responsibility, liability, claims, demands and/or damages (actual and consequential) of every kind and nature, known and unknown, arising out of or in any way connected with (i) disputes between or among Users; (ii) third party sites and services; and (iii) claims relating to the unauthorized access to any data communications or User Content stored under or relating to your account.

You hereby waive applicability of California Civil Code §1542, and any similar statute or principle of common law. 20. California Users

If you are a California resident, we are required to inform you that you may reach the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs via mail at 1625 North Market Blvd., Suite N112, Sacramento, CA 95834 or telephone at (916) 445-1254 or (800) 952-5210. Unless you and we agree otherwise, in the event that Section 26 is found not to apply to you or to a particular claim or dispute, you agree that any claim or dispute must be resolved exclusively by a state court located in Suffolk County, Massachusetts or a federal court located in Boston, Massachusetts. To the extent permitted by law, you and we agree to waive trial by jury in any court proceeding.

26. Agreement to Arbitrate; Waiver of Class Action

Except for disputes relating to your or our intellectual property, you agree that all disputes between you and us arising out of or relating to these Terms, our Services and/or our Privacy Policy shall be finally resolved by arbitration conducted in the English language in Boston, Massachusetts, U.S.A. under the Commercial Arbitration Rules of the American Arbitration Association (AAA) and you and we hereby expressly waive trial by jury.

Any claims brought by you or us must be brought in that party's individual capacity, and not as a plaintiff or class member in any purported class or representative proceeding. Neither you nor us will participate in a class action or class-wide arbitration for any claims covered by these Terms. You hereby waive any and all rights to bring any claims related to these Terms and/or our Privacy Policy as a plaintiff or class member in any purported class or representative proceeding.
